General Terms of Service

Scope

These terms apply to the delivery of the digital service specified in the order confirmation between the Seller and the Buyer. The order is binding.

Licence to Use the Service

The Seller grants the Buyer a limited, non-transferable and revocable right to use the service for the duration of the agreement. All intellectual property rights to the service and its content belong to the Seller or third parties. The Buyer is responsible for keeping their access credentials secure.

Payment Terms

Prices are stated excluding value added tax (VAT 0%). The payment period is 14 days from the invoice date unless otherwise agreed. Late payment interest is determined in accordance with the Interest Act. The Seller has the right to suspend the service if payment is more than 30 days overdue.

Term and Termination

The agreement is in force for the period stated in the order confirmation. For open-ended agreements, the mutual notice period is one (1) month, and notice must be given in writing. Termination ends billing from the start of the next full billing cycle.

Limitation of Liability

The service is provided "as is". The Seller is not liable for costs arising from service interruptions, security threats or other technical disruptions. The Seller is not liable under any circumstances for indirect damages such as loss of revenue or profit. The Seller's total liability is in all cases limited to the amount of service fees paid by the Buyer to the Seller during the preceding six (6) months.

Complaints and Notices

The Buyer must notify the Seller of a defect in the service or the contents of an order confirmation within seven (7) days of discovering the defect or receiving the order confirmation.

Governing Law and Dispute Resolution

This agreement is governed by Finnish law. Disputes arising from this agreement shall be resolved primarily through negotiation. If no agreement is reached, disputes shall be settled in the district court of the Seller's registered domicile.
